Terms of Service

1. Acceptance, Eligibility & Capacity

You may use the Service only if you are at least 18 years old, have the legal capacity to enter into a binding contract in your country of residence, and are not barred from using financial-services-adjacent software under applicable law or sanctions. By using the Service, you represent and warrant that all of the above are true. These Terms govern all access to and use of the Service, including the website, dashboard, AI Mentor, Behavioral Journal, broker integrations, weekly reports, mobile or desktop applications (if any), and APIs.

2. What the Service Is — and What It Is Not

TradeConfidence is a behavioral performance product. It observes the trading behavior you import or log, detects destructive patterns (revenge, impulsivity, over-risking, emotional escalation, dopamine chasing), provides AI-generated mentoring guidance, and surfaces decision-quality insights. Its purpose is to help you improve discipline and decision quality.

TradeConfidence is not, and will never present itself as, any of the following:

• A broker, dealer, market maker, exchange, or trading platform. We do not place, modify, or cancel trades on your behalf.
• A financial advisor, investment advisor, or portfolio manager. We make no investment recommendations and provide no buy / sell / hold signals.
• A copy-trading or social-trading service.
• A market-analysis tool. We do not produce technical analysis, indicators, price targets, or forecasts.
• A psychiatric clinic, psychotherapy service, or medical provider. We do not diagnose, treat, or provide therapy for any condition. Nothing in the Service constitutes medical advice.
• A signal service, guru subscription, prop firm, or trading course.

If anything inside the Service ever feels like a trade signal or a medical instruction, treat it as a product defect and report it to us.

3. Your Account

You must provide accurate information when you register and keep that information up to date. You are responsible for safeguarding your account credentials, for any activity that occurs through your account, and for notifying us immediately of any unauthorized use. We may suspend or terminate your account if we detect a credible security risk, fraud, or a breach of these Terms. You may not share your account with another person, sell or transfer your account, or operate more than one account without our written permission.

4. Subscriptions, Billing & Refunds

• Plans, prices, and features are shown on our Pricing page and may be updated from time to time. Material price changes for existing subscribers take effect at the start of the next renewal period.
• Subscriptions automatically renew at the end of each billing period at the then-current price, until cancelled.
• You can cancel at any time from your account settings. Cancellation stops future renewals; the current paid period continues until its end.
• Free trials, if offered, convert into a paid subscription at the end of the trial period unless you cancel before the trial ends.
• All fees are charged in the currency shown at checkout and are non-refundable except where required by applicable law (for example, statutory withdrawal rights for consumers).
• Where local law grants a statutory right of withdrawal, you may exercise it within the period and by the method that law prescribes; any refund will be calculated pro-rata for the unused portion.
• Taxes (e.g., VAT, GST) may apply in addition to the listed price depending on your billing location.
• Payment is processed by our payment provider. By providing payment information, you authorize the payment provider and us to charge the payment method for the amounts due.

5. Acceptable Use

When you use the Service, you agree not to:

• Use the Service in violation of any applicable law, regulation, or third-party right.
• Reverse engineer, decompile, scrape, or otherwise attempt to obtain the source code or underlying data of the Service, except to the limited extent that this restriction is prohibited by applicable law.
• Circumvent or interfere with security, rate limits, or any feature that enforces these Terms.
• Use bots, automated agents, or unauthorized scripts to interact with the Service.
• Upload content that is unlawful, infringing, defamatory, threatening, harassing, deceptive, or that contains malware.
• Use the Service to provide a competing product, to train a competing AI model, or to resell access to the Service without our prior written consent.
• Misrepresent the Service to others — for example, by quoting AI Mentor output as professional advice or as a trading signal.
• Use the Service from a jurisdiction where doing so is prohibited.

6. Third-Party Services and Broker Integrations

The Service may interoperate with third-party services that you authorize, such as cTrader, MT4/MT5 brokers, TradingView, and payment providers. Your use of those services is governed by their own terms and privacy policies, which you are responsible for reviewing. We are not liable for the acts or omissions of those services. Broker integrations are read-only — we cannot place, modify, or cancel trades on your behalf — and you may revoke access at any time from the third-party provider's settings.

7. Your Content

You retain all rights in the information you create or upload, including journal entries, AI Mentor messages, uploaded statement files, and notes ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and use your User Content solely as needed to operate, secure, and improve the Service for you, to send the User Content to the AI providers that generate AI Mentor responses, and to comply with legal obligations. This license ends when you delete the User Content or your account, except for residual encrypted backups retained for a limited period in the ordinary course. You are responsible for the legality of the content you upload and for having the right to upload it. Do not upload content that infringes anyone else's rights.

8. AI-Generated Output

The AI Mentor uses large language models to produce text in response to your messages and behavioral context. AI outputs may be inaccurate, incomplete, biased, or out of date. Outputs are educational and reflective in nature and must not be relied upon as financial, legal, medical, or psychological advice. Always exercise independent judgment before acting on anything the AI Mentor says. Do not enter information into the AI Mentor that you would not be comfortable storing in the Service. We disclaim all warranties with respect to AI outputs to the maximum extent permitted by applicable law.

9. Our Intellectual Property

The Service, including its software, design, copy, brand assets, behavioral methodology, AI prompting systems, and the TradeConfidence and Nefes Labs marks, is owned by Nefes Labs and protected by applicable intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. No other rights are granted by implication, estoppel, or otherwise.

10. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without compensation or attribution.

11. Beta and Early-Access Features

Features marked as beta, preview, early access, or experimental are provided "as is," may be changed or withdrawn without notice, and are not subject to any service-level commitments. We will mark such features clearly inside the Service.

12. Changes to the Service

We continuously improve the Service. We may add, modify, or remove features at any time. For changes that materially reduce a feature you rely on, we will give reasonable advance notice (typically at least 30 days) by email or in-product notice.

13. Suspension and Termination

• You may stop using the Service at any time and delete your account from your account settings.
• We may suspend or terminate your access if we reasonably believe you have breached these Terms, if your use creates a security or legal risk, if a payment fails and is not cured, or if we are required to do so by law.
• Where the breach is curable, we will give you a reasonable opportunity to cure before terminating, unless doing so would expose us or others to harm.
• On termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) survive termination.

14. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT AI OUTPUTS OR BEHAVIORAL ANALYSES WILL BE ACCURATE OR FREE FROM ERROR. NOTHING IN THE SERVICE IS A GUARANTEE OF FINANCIAL OUTCOME, MENTAL-HEALTH OUTCOME, OR ANY OTHER OUTCOME. NOTHING IN THIS SECTION LIMITS RIGHTS THAT CANNOT BE WAIVED UNDER APPLICABLE CONSUMER LAW.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (b) ONE HUNDRED US DOLLARS (USD 100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW (FOR EXAMPLE, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT).

16. Trading Risk Acknowledgment

You acknowledge and agree that: • Trading financial instruments — including forex, CFDs, futures, equities, commodities, and crypto-assets — involves substantial risk of loss and is not suitable for every investor. • Past performance is not indicative of future results. • You are solely responsible for evaluating the appropriateness of any trade you place, regardless of any information generated by the Service. • You will not hold us responsible for any trading loss, missed opportunity, or financial consequence arising from your use of the Service. • Behavioral pattern detections, discipline scores, and AI Mentor responses are decision-support outputs, not instructions to act.

17. Indemnification

You agree to defend, indemnify, and hold harmless Nefes Labs and its officers, employees, and contractors from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your breach of these Terms, (b) your User Content, (c) your trading decisions, or (d) your violation of any applicable law or third-party right. We may, at our option and at your expense, assume the exclusive defense of any matter for which you owe us indemnification.

18. Governing Law and Venue

These Terms and any dispute arising out of or related to them or to the Service are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws principles. The courts and enforcement offices of Istanbul (Çağlayan) shall have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual-property rights. Nothing in this section deprives you of mandatory consumer-protection rights in your country of residence.

19. Informal Resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting hello@tradeconfidence.ai. We will try to resolve the issue within 30 days of receiving your notice. If we cannot, either party may proceed under Section 18.

20. Force Majeure

Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, or third-party service outages.

21. Miscellaneous

• Entire agreement: These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and us about the Service and supersede prior agreements on the same subject.
• Severability: If any provision is held unenforceable, the rest remains in effect.
• No waiver: Failure to enforce a provision is not a waiver of the right to enforce it later.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Notices: We will send legal notices to the email address on your account. You will send legal notices to legal@tradeconfidence.ai.
• Language: These Terms are written in English. Translations are provided for convenience; in the event of a conflict, the English version controls, except where prohibited by applicable consumer-protection law.
• Relationship: Nothing in these Terms creates a partnership, agency, employment, or joint venture between you and us.

22. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email or through an in-product notice at least 14 days before the change takes effect, and we will update the "Effective date" at the top of this page. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, your remedy is to stop using the Service and, if appropriate, request a pro-rata refund of any unused prepaid period.
